Mindstatz.com End User License Agreement (EULA)
Effective Date: October 20, 2026
This End User License Agreement (“EULA” or “License Agreement”) is a legal agreement between you (“You” or “End User”) and Mindstatz, a business based in the State of Maryland, United States (“Licensor,” “Mindstatz,” “we,” “us,” or “our”). It governs the license You receive to use the software, video player, VR player, and content made available through https://mindstatz.com (the “Site”).
By creating an account, buying or downloading content, streaming content, or otherwise using the Licensed Materials, You agree to be bound by this EULA. If You do not agree, do not use the Licensed Materials. This EULA is part of, and is read together with, our Terms of Service and Privacy Policy. If this EULA and the Terms of Service conflict about Your license to the Licensed Materials, this EULA controls.
ADULT CONTENT WARNING. The Licensed Materials contain material of an adult nature that may depict nudity, sexual activity, fetish content, and erotic art, and are licensed only to persons who are at least 18 years old (or the age of majority where they live, if higher).
1. THE LICENSED MATERIALS
1.1 What is licensed. “Licensed Materials” means (a) the video, 180° virtual-reality (“VR”), image, audio, and other content that You stream, view, or download from the Site, whether as a free preview or after a purchase (“Content”); and (b) the web-based software on the Site that plays or delivers Content, including the standard video player and the 180° VR player, together with any updates (the “Software”).
1.2 Licensed, not sold. The Licensed Materials are licensed to You, not sold. Buying a video or VR scene gives You a license to view that Content under this EULA. It does not transfer ownership of the Content, any copy of it, or any intellectual-property right in it.
1.3 Not for regulated uses. The Licensed Materials are entertainment products. They are not designed to meet industry-specific regulations (such as health, financial, or education laws), and You may not use them in a way that would require that compliance.
2. GRANT OF LICENSE
2.1 Scope. Subject to this EULA and Your payment of any applicable price, Mindstatz grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) access the Site and use the Software; and
(b) stream and view the Content that You have purchased or that is offered as a free preview, and, only where the Site offers a download option for that item, make and keep a download on devices that You own or control,
in each case solely for Your own private, non-commercial, personal entertainment.
2.2 Devices. You may use the Licensed Materials on any compatible devices that You own or control, including VR headsets and phones that support the VR player, as long as only You (and no minor) can view the Content.
2.3 Updates and changes. This EULA also applies to updates, fixes, and new versions of the Software and to any new Content that replaces or adds to what You licensed, unless a new license is given with it, in which case the new license applies. We may change, upgrade, or remove features of the Software at any time.
2.4 Reserved rights. Mindstatz and its licensors reserve all rights that are not expressly granted to You in this EULA.
2.5 Verified Members only. The license to explicit Content applies only to Members whose age has been verified as described in Section 2.4 of our Terms of Service. We may suspend the license to any Content if age verification is not completed or cannot be maintained.
3. LICENSE RESTRICTIONS
Except to the extent expressly allowed by this EULA, or by a law that cannot be waived by contract, You may not, and may not allow anyone else to:
(a) copy, reproduce, record, screen-capture, rip, capture, extract, or otherwise duplicate any Licensed Materials, other than the download the Site expressly allows and one private backup of that download on a device You own or control;
(b) share, publish, post, upload, stream to others, broadcast, transmit, or make the Licensed Materials available to any other person, including through file-sharing, cloud links, messaging, or social media;
(c) sell, rent, lend, lease, sublicense, assign, give away, or otherwise transfer the Licensed Materials or Your license or account;
(d) show or perform the Licensed Materials in public or in any commercial setting, or use them for any commercial purpose;
(e) allow any person under 18 to see, hear, or access the Licensed Materials, Your account, or any device or storage holding downloaded Content;
(f) remove, change, hide, or obscure any copyright, trademark, watermark, or other proprietary notice or identifier in the Licensed Materials;
(g) edit, translate, adapt, remix, re-encode for distribution, create derivative works from, or combine the Licensed Materials with other works;
(h) reverse engineer, decompile, disassemble, or try to derive the source code of the Software, or circumvent or disable any access control, encryption, watermark, digital-rights, age-verification, geographic, or usage-limit feature;
(i) use bots, scrapers, or other automated tools to access, copy, or collect any Licensed Materials or related data;
(j) use the Licensed Materials, or any data from them, to train, fine-tune, validate, or test any artificial-intelligence or machine-learning model, or to create or improve a dataset, face or voice model, “deepfake,” or synthetic likeness of any person;
(k) use the Licensed Materials to identify, harass, defame, threaten, or blackmail any person, or to create or distribute any intimate image of a person without that person’s consent; or
(l) use the Licensed Materials in violation of any law, or help anyone else to do so.
Any attempt to do these things is a breach of this EULA and may be unlawful. We may take legal action and seek damages and injunctive relief.
4. OWNERSHIP
4.1 Mindstatz and its licensors own and keep all right, title, and interest in the Licensed Materials, including all copyrights, trademarks, trade secrets, and other intellectual-property rights, in every country. The Licensed Materials are protected by U.S. and international copyright and other laws.
4.2 The name “Mindstatz,” its logos, and its trade dress are our trademarks. This EULA does not give You any right to use them.
4.3 Likeness of performers. The people who appear in Content have rights in their image and likeness. You may not use any person’s name, image, voice, or likeness from the Licensed Materials for any purpose other than private viewing.
5. DOWNLOADED COPIES
5.1 Where the Site allows a download, the file is for Your private use only. You are responsible for keeping it secure and out of the reach of minors and other people.
5.2 If Your license ends, or if You sell, give away, or dispose of a device, You must first delete all downloaded Content from it.
5.3 We do not promise to keep a copy for You. Because downloads may be lost if You lose a device or change accounts, You should keep a private backup as 3(a) allows.
6. THIRD-PARTY COMPONENTS
The Software may include or load third-party and open-source components, such as the A-Frame virtual-reality framework. Those components are licensed under their own terms, which apply to them instead of this EULA to the extent they conflict with this EULA. Nothing in this EULA limits Your rights under an open-source license for such components.
7. TECHNICAL REQUIREMENTS; HEALTH AND SAFETY
7.1 Requirements. The Licensed Materials require a compatible device, an up-to-date web browser, and an internet connection that is adequate for streaming or downloading video. VR Content works best with a VR headset, and may also work on a phone that has a motion sensor. You are responsible for confirming that Your devices and connection can use the Licensed Materials and for any related charges from Your internet or mobile provider.
7.2 No support obligation. Unless we say otherwise in writing, we have no duty to provide maintenance, technical support, or updates for the Licensed Materials, although we may try to help You at msdigimed@gmail.com. We may change the technical requirements at any time.
7.3 VR safety. VR can cause dizziness, nausea, eye strain, disorientation, and, for some people, seizures. Do not use VR if You are pregnant, elderly, have a heart condition, a vision or balance disorder, epilepsy, or another condition that VR could aggravate, unless Your doctor says it is safe. Stop immediately if You feel unwell. Make sure Your surroundings are clear and safe before You use a headset. You use VR at Your own risk.
8. USE OF DATA
We collect and use information about You and Your use of the Licensed Materials as described in our Privacy Policy. You acknowledge that we may collect technical information about Your device, browser, and connection (for example, to deliver video, detect fraud, and fix errors) and may use it to improve the Licensed Materials and to protect the Site, in line with the Privacy Policy and applicable law.
9. FEEDBACK
If You send us feedback, suggestions, or ideas about the Licensed Materials, You agree that we may use and share them for any purpose without credit or payment to You. The Licensed Materials do not currently allow You to upload or post content of Your own. If we add that feature, additional terms will apply.
10. NO WARRANTY; LIMITED REMEDY
10.1 Limited remedy for defects. If a Content file You purchased is defective or will not play as described, tell us at msdigimed@gmail.com within fourteen (14) days after You discover the problem, with Your order reference. We will, at our choice, repair or replace the item or refund the price You paid for it. This is Your sole remedy for a defect, to the extent the law allows.
10.2 Disclaimer. To the fullest extent permitted by law, the Licensed Materials are provided “as is” and “as available,” without any warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and that the Licensed Materials will be uninterrupted, error-free, or free of viruses or other harmful code. We do not warrant that the Licensed Materials will work with Your device, headset, or software.
10.3 Exclusions. No remedy is available for problems caused by modification of the Licensed Materials, unauthorized use, a device or software that does not meet the requirements, or events outside our reasonable control.
10.4 Mandatory rights. Some places do not allow certain disclaimers, or give consumers rights that cannot be waived. Nothing in this EULA limits those rights.
11. LIMITATION OF LIABILITY
11.1 To the fullest extent permitted by law, Mindstatz and its owners, members, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or related to the Licensed Materials or this EULA, even if told of the possibility of such damages.
11.2 To the fullest extent permitted by law, our total liability to You for all claims arising out of or related to the Licensed Materials or this EULA will not exceed the greater of the amount You paid us for the Licensed Materials in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).
11.3 Nothing in this EULA limits or excludes liability for death or personal injury caused by our negligence, for fraud, for willful misconduct, or for anything else that cannot be limited or excluded under the law that applies to You.
12. CLAIMS
Mindstatz is responsible for addressing any claims relating to the Licensed Materials or Your possession and use of them, including claims that they fail to conform to a legal or regulatory requirement or claims under consumer-protection or privacy laws. Please send any claim or complaint to us using the contact details in Section 18 so that we can try to resolve it.
13. LEGAL COMPLIANCE; EXPORT AND SANCTIONS
13.1 You represent and warrant that: (a) You are at least 18 years old (or the age of majority where You live, if higher); (b) it is lawful for You to view and possess adult material where You are located; and (c) You are not located in, and are not a resident or national of, a country or region that is subject to a comprehensive U.S. government embargo or sanctions, and You are not on any U.S. government list of prohibited or restricted parties.
13.2 You will comply with all laws that apply to Your use of the Licensed Materials, including laws on adult material, copyright, privacy, export control, and sanctions. We may block, limit, or add conditions to access from any country or region, or require additional age verification, at any time.
13.3 U.S. Government end users. The Software and Content are “commercial products” and “commercial computer software” within the meaning of U.S. federal acquisition rules. If You are a U.S. Government end user, Your rights are limited to those in this EULA, to the extent permitted by law.
14. TERM AND TERMINATION
14.1 This EULA lasts until it is ended by You or by us. You may end it at any time by stopping all use of the Licensed Materials and deleting all downloaded Content.
14.2 Your rights under this EULA end automatically, without notice, if You break any of its terms or the Terms of Service. We may also suspend or end Your access, with or without notice, for the reasons in the Terms of Service, including that we cannot verify Your age, fraud, abusive chargebacks, or legal requirements.
14.3 When the EULA ends, You must stop using the Licensed Materials and delete all copies of Content in Your possession or control. If we end Your access for reasons other than Your breach, the Terms of Service describe what we will do for Content You purchased.
14.4 Survival. Sections 3, 4, 10 through 13, 15, and 16, and any other terms that by their nature should survive, will continue after this EULA ends.
15. GOVERNING LAW AND DISPUTES
This EULA is governed by the laws of the State of Maryland and applicable U.S. federal law, without regard to conflict-of-law rules. The dispute-resolution, venue, and consumer-rights provisions in Section 17 of our Terms of Service apply to this EULA. Nothing in this EULA takes away any right You have under the mandatory consumer law of the place where You live.
16. GENERAL
16.1 Changes. We may update this EULA from time to time by posting the new version on the Site with a new effective date, and, where the law requires, notifying You. Continued use of the Licensed Materials after the effective date means You accept the changes. Changes do not affect Content You already purchased in a way that removes Your core right to view it, except as the law or Section 4.5 of our Terms of Service allows.
16.2 Entire agreement. This EULA, the Terms of Service, and the Privacy Policy are the entire agreement between You and us about the Licensed Materials. Changes to this EULA are valid only if they are in writing and published or signed by us.
16.3 Severability. If any part of this EULA is held invalid or unenforceable, that part will be replaced with a valid provision that comes closest to its purpose, and the rest of this EULA will remain in effect.
16.4 Assignment. You may not assign this EULA. We may assign it, including in connection with a merger, sale of assets, or reorganization.
16.5 No waiver. Our failure to enforce any right is not a waiver of it.
16.6 Language. This EULA is provided in English, and the English version controls to the extent the law allows. Canada: The parties have expressly required that this agreement be drafted in English. Les parties ont expressément exigé que la présente convention soit rédigée en anglais.
17. THIRD-PARTY TERMS
You must also comply with the terms of any third-party services You use together with the Licensed Materials, such as Your payment provider, internet provider, device maker, or headset platform. Nothing in this EULA restricts those third-party terms.
